I just looked at the minimum requirements. Is your Windows XP at SP3? If not, then you'll have to install SP3 first.

Also, I thought I should point out that you're half a GB (aka 0.5GB) of memory below the minimum requirement for Windows XP. It might not matter, but it could potentially impact the game's performance.
