It doesn't really have anything to do with being offline or online, they are simply unreleased items that can be obtained through illegitimate means. The problem is that if you have them on your char's inventory and you try to go online, SEGA will ban your account for a brief time (usually 25 hours I think.) You can keep the items in your bank with no problems though as long as you don't try to remove them online.
